General Terms and Conditions of Sale (GTC)

Preamble

These General Terms and Conditions of Sale (hereinafter "GTC") apply to any subscription to the paid Pro plan of the Omiros service. They are concluded between the operator of Omiros (hereinafter "Omiros") and any User subscribing to that plan (hereinafter "the Subscriber").

Subscribing to the Pro plan constitutes full and unconditional acceptance of these GTC and of the ToS.

Article 1 — Description of Plans

Omiros offers two levels of service:

  • Free Plan: free access to basic features including the creation of a Bento Page with a limited number of modules, and the Discord Bot with live/offline announcements. The content of the free offer may evolve in either direction (features may be added or removed).
  • Pro Plan: access to all features, including in particular the Twitch Bot, advanced Bento modules, and extended Discord features. Price: €4.99 incl. VAT per month.

The precise features of each plan are detailed on the Service's pricing page, which is subject to update.

Article 2 — Pricing and Billing

  • The Pro Plan is offered at a price of €4.99 incl. VAT per month. No minimum commitment is required. No annual pricing is offered at this time.
  • Prices are quoted in euros inclusive of all taxes. Omiros reserves the right to modify its prices with at least 30 days' prior notice by email. The Subscriber may cancel their subscription before the new pricing takes effect.

Article 3 — Payment

  • Payment is made exclusively via Stripe Checkout, a secure payment provider. Omiros does not collect or store any banking data. Only technical Stripe identifiers (session ID, subscription ID, status, price ID) are retained.
  • The subscription renews automatically at each monthly billing date. The Subscriber receives a payment confirmation by email at each renewal.
  • In the event of payment failure, Stripe makes retry attempts according to its own rules. Omiros reserves the right to suspend access to Pro features in the event of persistent non-payment.

Article 4 — Cancellation

  • The Subscriber may cancel their Pro subscription at any time from their account settings. Cancellation takes effect at the end of the current monthly period, which has already been fully billed.
  • At the end of the paid period, the account automatically reverts to Free mode. Pro features (including the Twitch Bot and Pro Bento modules) are disabled. Associated data remains accessible in read-only mode from the dashboard. If the number of active Bento modules exceeds the Free plan limit, the Subscriber must delete some before being able to create new ones.
  • User data is never automatically deleted as a result of a cancellation or downgrade.

Article 5 — Right of Withdrawal

  • In accordance with Article L.221-28 12° of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content not provided on a tangible medium whose performance has begun with the User's prior consent and with an express waiver of the right of withdrawal.
  • By subscribing to the Pro Plan and immediately accessing the corresponding features, the Subscriber expressly acknowledges waiving their right of withdrawal, in accordance with the applicable legal provisions.

Article 6 — Beta Commercial Gestures (non-contractual)

  • Omiros may, at its sole discretion and without this constituting an obligation, a right, or a claim, offer free trial periods or discounts on the Pro Plan as a commercial gesture, in particular as a thank-you for users' support during the beta phase or as compensation for significant malfunctions.
  • Such commercial gestures are decided unilaterally by Omiros, cannot be demanded by the Subscriber, and create no precedent or future obligation.

Article 7 — Service Availability During Beta

  • Omiros is currently in public beta. Service interruptions, bugs, or malfunctions may occur. Omiros undertakes to make all reasonable efforts to ensure continuity of the Service but cannot guarantee uninterrupted availability.
  • These uncertainties inherent to the beta phase do not entitle the Subscriber to a refund but may, at Omiros's discretion, give rise to the commercial gestures referred to in Article 6.

Article 8 — Account Deletion and Refunds

  • In the event of account deletion by Omiros for serious violation of the ToS (fraud, unlawful content, etc.), no refund will be issued for the current period.
  • In the event of voluntary account deletion by the Subscriber during a paid period, no refund is issued for the current month.

Article 9 — Consumer Mediation

In accordance with Articles L. 616-1 and R. 616-1 of the French Consumer Code, should a complaint submitted to Omiros customer support fail to be resolved, the consumer Subscriber may refer the matter free of charge to the following consumer mediator:

Article 10 — Governing Law

These GTC are governed by French law. Any dispute relating to their formation, interpretation, or performance shall be submitted to the competent courts in France, subject to the mandatory provisions applicable to consumers residing in another European Union member state.
